Terms of Service

1. Acceptance of Terms

By accessing or using the Greenlights uptime monitoring service (the "Service") provided by IACTA, LLC. ("IACTA," "we," "us," or "our"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Greenlights provides website uptime monitoring services. We monitor the availability of your website(s) and send you notifications when downtime is detected. The Service includes:

  • HTTP/HTTPS checks.
  • Monitoring of website response times and status codes.
  • Email notifications of downtime and uptime events.
  • A user dashboard to manage monitored websites and view performance data.
  • A free plan with limited features and usage limits.
  • A paid plan with additional features and higher usage limits.

3. User Accounts

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and account credentials.
  • Be responsible for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.
  • You must be at least 18 years of age to use this service.

4. Fees and Payment

  • Free Plan: Greenlights offers a free plan with limited features, as described on our pricing page.
  • Paid Plans: We offer paid subscription plans with additional features and higher usage limits. Details of these plans are available on our pricing page.
  • Payment Processing: Payments are processed securely through our third-party payment processor. We do not store your full credit card details. We may store your subscription status, billing cycle dates, third party payment processor's customer ID, the last four digits of your card, card brand, and billing address.
  • Subscription Renewals: Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually, as selected by you) unless you cancel your subscription before the renewal date.
  • Cancellation: You can cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing cycle. No refunds will be provided for partial billing periods, unless required by law.
  • Changes to Fees: We reserve the right to change our fees at any time. We will provide you with reasonable notice of any fee changes before they take effect.

5. Acceptable Use

You agree not to use the Service:

  • To monitor websites that you do not own or have explicit permission to monitor.
  • For any illegal or unauthorized purpose, including but not limited to violating any applicable laws or regulations.
  • To transmit any viruses, worms, or other malicious code.
  • To interfere with or disrupt the Service or servers or networks connected to the Service.
  • To attempt to gain unauthorized access to the Service, other user accounts, or our computer systems.
  • To engage in any activity that could damage, disable, overburden, or impair the Service.
  • To resell or redistribute the Service without our prior written consent.
  • To send spam or other unsolicited communications.

6. Intellectual Property

The Service and its original content, features, and functionality (excluding User Content, as defined below) are and will remain the exclusive property of IACTA, LLC. and its licensors. The Service is protected by copyright, trademark, and other laws of both Japan and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of IACTA, LLC.

7. User Content

You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content solely for the purpose of providing the Service. For Greenlights, User Content primarily consists of the URLs you choose to monitor.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. We are not responsible for any loss of data resulting from termination. You may terminate your account at any time through your account settings.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. IACTA, LLC. disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. IACTA, LLC. does not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components. We do not offer any uptime guarantees. While we strive to provide accurate monitoring, we are not responsible for false positives or false negatives.

10. Limitation of Liability

In no event shall IACTA, LLC., its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the Service, even if IACTA, LLC. has been advised of the possibility of such damages. Our total liability to you for all claims arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, shall not exceed the amount you have paid to us, if any, in the past six (6) months for the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Tokyo, Japan, to resolve any dispute arising out of or relating to these Terms or the Service.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

13. Entire Agreement

These Terms constitute the entire agreement between you and IACTA, LLC. regarding the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and IACTA, LLC. with respect to the Service.
